Payment Terms

These are the Payment Terms ("the Payment Terms"). If you make a payment to Ozio Media, you accept these Terms.

1. Payments

Ozio Media will bill for all of the total estimated cost when Ozio Media begins the Content. Purchaser agrees to pay upfront for all Content.

2. Payment Sources

Providing a payment source to Ozio Media means that the Purchaser is permitted to use that payment source. The Purchaser agrees to allow Ozio Media to collect and store information associated with the transaction. Ozio Media is also authorized to charge the full amount requested to that payment source designated for the transaction. If the Purchaser pays via credit card, a pre-authorization for the amount of the charge may be obtained and the card may be billed at the time of purchase or shortly after. If the Purchaser cancels the transaction before it is completed, the pre-authorization may result in the Purchaser's funds not being immediately available. If a Purchaser makes a payment via debit card which results in a bank overdraft fee or other bank fee, the Purchaser alone is responsible for that fee.

3. Collection

Unless otherwise specified in writing, invoices not paid within 30 days of the invoice date will accrue interest at 1.5% per month. Purchaser agrees to pay for each check returned for insufficient funds or any other reason $25 per occurrence or 5% of the value of each returned item, whichever is greater. Purchaser agrees to pay all reasonable attorney’s fees (at least 15% of all amounts due, including interest) if any account is placed with an attorney for collection. Purchaser agrees that a completed partial or full payment constitutes "doing business" in the State of Maryland and submits itself to the jurisdiction of the State of Maryland with respect to any suit brought by Ozio Media to collect any sums hereunder.

4. Copyrights

Ozio Media agrees that as part of providing services to the Purchaser, it may beasked to create, or contribute to the creation of, articles, computer programs,documentation and other copyrightable works (collectively called "Works"). Ozio Media agrees that any and all Works that it prepares incident to providing the Services shall be "works made for hire" and that the Purchaser shall own all the copyright rights (including all moral rights) in such Works. IF AND TO THE EXTENT ANY WORKS DO NOT SATISFY THE LEGAL REQUIREMENTS TO CONSTITUTE A WORK MADE FOR HIRE, OZIO MEDIA HEREBY ASSIGN ALL OF ITS COPYRIGHT RIGHTS, TITLES AND INTERESTS IN THE WORKS TO THE PURCHASER.

5. Content Approval

Purchaser is responsible for approval of Content ordered (i.e. copywriting, editing, and other services) and approval of Content ordered is required for the completion of the Content. Purchaser approval is subject to be assumed by Ozio Media if notice of disapproval is not given in writing within 4 days of delivery of any portion of the Content. Any portion of the Content that is deemed approved by the Purchaser whether by expiry of the approval time window or by written notice from the Purchaser will be considered as completed.

6. Changes

Any verbal or written changes made by Purchaser to the scope of the Content following its initiation by Ozio Media are subject to additional charges. Should such changes negate any part of the Content already completed at the time of the changes, Purchaser accepts responsibility for payment of the completed work and all services related to it, in addition to charges for the change itself.

7. Cancellation

Upon written or verbal cancellation, Purchaser is responsible for payment for all expenses incurred and any work done toward the completion of the Content based on the percentage of the Content completed. Should Purchaser cancel the Content following its completion, Purchaser is responsible for full payment as per the above estimate plus all other expenses incurred.

8. Refunds

Due to the digital nature of the products and services, all sales are final.

9. Reversals and Disputes

Purchaser agrees to notify Ozio Media immediately if a problematic or an unauthorized transaction has taken place under the Purchaser's account. Purchaser is responsible and agrees to reimburse Ozio Media for all chargebacks, fees, penalties, fines, reversals or other liabilities incurred by Ozio Media caused by payments authorized or accepted by Purchaser. Purchaser waives all claims against Ozio Media regarding payments unless the claim is made in writing within 30 days after the charge.

10. Other

All of the commitments that the Purchaser makes to the Ozio Media Terms and Conditions (http://www.oziomedia.com/terms) apply to payments made to Ozio Media. In the event of conflict between the Ozio Media Terms and Conditions, the Payment Terms will prevail.
